Terms of Service
Effective October 19, 2026
These terms are an agreement between you and [company] ("Guidely", "we", "us") and govern your use of guidelytech.com, the Guidely dashboard, APIs and SDKs (together, the "Service"). By creating an account, joining a workspace or using the Service, you agree to them. If you use the Service for a company or other organization, you agree on its behalf and confirm you have authority to do so; "you" and "Customer" then mean that organization.
If you have signed a separate agreement or order form with us, it takes precedence over these terms where they conflict.
1. Definitions
- Workspace: the space in the Service where your organization's members, projects and content live.
- Customer Content: everything you or your members put into the Service, such as guides, articles, how-tos, uploaded files and settings.
- Customer Data: information about your own users ("End Users") that the SDK or API sends to the Service from your apps, such as events, traits, session recordings, errors and Scout conversations.
- SDKs: the Guidely software libraries you install in your apps, including our npm, mobile and server packages.
2. Accounts and workspaces
You must be at least 18 years old and able to form a binding contract to use the Service. Give us accurate account information and keep it up to date.
You are responsible for your account and for keeping your password and API keys secret. Tell us promptly at legal@guidelytech.com if you think your account or keys have been compromised.
Workspace owners and admins control their workspace: who can join, which sign-in methods are allowed, each member's permissions, and whether accounts created by the workspace exist. If you join a workspace, its owners and admins can see your activity in it and can remove you. The Customer that owns a workspace is responsible for everything its members do there.
3. Using the Service
Subject to these terms, we grant you a non-exclusive, non-transferable right to access and use the Service, and to install the SDKs in your apps, for your internal business purposes.
The SDKs are open-source software licensed under the MIT License. That license governs your use of the SDK code itself; these terms govern your use of the hosted Service the SDKs connect to.
We are continually improving the Service and may add, change or remove features. If we remove a feature you rely on in a way that materially reduces the Service, we'll give workspace owners reasonable notice where we can. Features we label as beta, preview or experimental are provided as-is, may change or be withdrawn at any time, and are excluded from any commitments we make about availability or support.
4. Fees
The Service is currently provided free of charge, unless you have agreed a paid plan or order form with us. We may introduce fees or paid plans in future. We'll give workspace owners at least 30 days' notice before you are charged anything, and you can stop using the Service before then. Fees, once agreed, are exclusive of taxes, which you are responsible for.
5. Your content and data
Ownership. You keep all rights to Customer Content and Customer Data. You grant us a worldwide, limited license to host, copy, process, transmit and display them only as needed to provide, secure and support the Service for you, and as you direct (for example when you connect an integration or share a how-to publicly).
Your responsibilities for End User data. You decide what the SDK collects, and you are responsible for having the rights and legal basis to collect it and send it to us. In particular, you will:
- give your End Users any notices, and obtain any consents (including for cookies and similar technologies, session recording and AI chat), that applicable law requires;
- configure the SDK appropriately, for example by masking or blocking sensitive elements, turning off URL collection where URLs contain personal data, and using consent mode where needed;
- not send us special categories of data (such as health, biometric or genetic information), payment card data, government identifiers, or data about children under 16, unless we have agreed in writing that you may;
- handle requests from your End Users about their data, using the tools the Service provides to access, export and delete it.
Our role. We process Customer Data as your processor, only on your instructions, as described in our Privacy Policy. If you need a data processing agreement, including the Standard Contractual Clauses, contact legal@guidelytech.com and we'll provide one; it forms part of these terms once signed.
Public content. Some content is reachable by anyone who has its link, by design: uploaded article media (so your widgets can load it), and how-tos you choose to share or embed. Don't upload anything to these that you need to keep private.
Retention and deletion. Customer Data is kept for the retention periods you set in your project settings. You can delete Customer Content and Customer Data at any time. When a workspace is deleted or these terms end, we delete its data as described in section 12.
6. AI features
Scout and other AI-assisted features use third-party large language models (currently Anthropic) to generate responses from your content and your End Users' messages. AI output can be inaccurate, incomplete or inappropriate. You are responsible for the content you give Scout to draw on, for reviewing AI-generated content before relying on it, and for letting your End Users know they are talking to an AI where the law requires it. Don't use AI features to make decisions with legal or similarly significant effects on individuals.
If you add your own Anthropic API key, your use of the model is also subject to your agreement with Anthropic, and usage is billed to your Anthropic account.
7. Acceptable use
You will not, and will not let anyone else:
- use the Service in violation of any law or anyone's rights, including privacy and intellectual property rights;
- use the Service to collect data from people without the notice or consent the law requires, or to track people across sites they haven't chosen to use;
- upload or distribute malware, or content that is unlawful, harassing, hateful, sexualizes minors, or deceptive (including phishing);
- try to get around the Service's security, rate limits, masking or access controls, or access another customer's data;
- probe, scan or load-test the Service without our written permission, or interfere with its operation;
- use the Service to send spam or unsolicited messages;
- resell, sublicense or provide the Service to third parties as a standalone product, except to your End Users through your own apps;
- copy, reverse engineer or build a competing product from the hosted Service (this does not limit your rights under the SDKs' open-source license);
- use the Service to build or train a machine-learning model, other than Scout's own learning features within your project.
8. Third-party services
The Service lets you connect third-party services such as GitHub, Google, Slack, Linear, Jira, Confluence, Intercom and Anthropic, and to embed videos from providers such as YouTube, Vimeo, Loom and Wistia. Those services are provided by their owners under their own terms, and we aren't responsible for them. When you connect one, you authorize us to exchange data with it as needed for the connection to work.
9. Our intellectual property and feedback
We and our licensors own the Service, including its software, design and documentation, and all intellectual property in it. Except for the rights we grant you in these terms and the SDKs' open-source license, no rights are transferred to you. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
10. Confidentiality
Each of us may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Customer Content and Customer Data are your Confidential Information. The receiving party will use the other's Confidential Information only to perform under these terms, protect it with at least reasonable care, and share it only with its employees, contractors and service providers who need it and are bound by similar duties. These duties don't apply to information that is public through no fault of the receiving party, that it already knew or independently developed, or that it received lawfully from someone else. A party may disclose Confidential Information when the law requires, after giving the other party notice where allowed.
11. Security and availability
We use reasonable technical and organizational measures to protect the Service and your data, as described in our Privacy Policy. We'll notify you without undue delay if we become aware of a breach of security affecting your Customer Data.
We aim to keep the Service available but don't guarantee it will be uninterrupted or error-free, and we don't offer a service level agreement unless we have agreed one with you in writing. We may carry out maintenance, which we'll try to schedule to minimize disruption.
12. Suspension and termination
By you. You can stop using the Service at any time. Workspace owners can delete their workspace from its settings, and you can ask us to delete your account by emailing legal@guidelytech.com.
By us. We may suspend or terminate your access, in whole or in part, if you breach these terms (including the acceptable use rules), if your use poses a security risk or could harm the Service, other customers or third parties, if you fail to pay agreed fees, or if the law requires it. Where practical, we'll give you notice and a chance to fix the problem first. We may also end the Service for everyone, giving at least 60 days' notice.
After termination. Your right to use the Service ends. For 30 days after termination (other than for a breach) you can ask us to help you export your Customer Content; after that we delete Customer Content and Customer Data from our systems, apart from backups, which expire on their normal cycle, and anything we must keep by law. Sections 5 (Ownership), 9, 10, 13, 14, 15, 16 and 18 survive termination.
13. Disclaimers
Except as expressly set out in these terms, the Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service, its analytics or its AI output will be accurate, error-free or uninterrupted.
14. Limitation of liability
To the fullest extent the law allows:
- neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of the possibility; and
- each party's total liability arising out of or relating to these terms or the Service is limited to the greater of the amounts you paid us for the Service in the 12 months before the claim arose and US $100.
These limits don't apply to your payment obligations, your obligations under section 15, or a party's liability for fraud, gross negligence or wilful misconduct, or for anything else that cannot be limited by law.
15. Indemnification
You will defend and indemnify Guidely and its officers, employees and agents against any third-party claim, and the resulting losses, damages and reasonable legal costs, arising from Customer Content, Customer Data (including any claim that you collected or sent it to us unlawfully) or your breach of section 7. We'll notify you promptly of the claim, let you control its defense, and cooperate reasonably at your expense; you won't settle a claim in a way that admits fault on our behalf without our consent.
16. Governing law and disputes
These terms are governed by the laws of [governingLaw], without regard to conflict-of-laws rules. The courts of [courts] have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service, and both parties consent to their jurisdiction. Either party may seek injunctive relief in any court to protect its intellectual property or Confidential Information. Nothing in these terms takes away rights you have as a consumer under mandatory local law.
17. Changes to these terms
We may update these terms from time to time. We'll post the new version here and change the effective date at the top. If a change is material, we'll notify workspace owners by email or in the dashboard at least 30 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you keep using the Service after the change takes effect, you accept the updated terms; if you don't agree, stop using the Service before then.
18. General
- Entire agreement. These terms, together with the Privacy Policy and any agreement or order form you sign with us, are the whole agreement between us about the Service.
- Assignment. You may not transfer these terms without our written consent. We may transfer them in connection with a merger, acquisition or sale of assets, or to an affiliate.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control (other than payment obligations).
- Severability and waiver. If any part of these terms is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it.
- Independent parties. We are independent contractors; these terms don't create a partnership, agency or employment relationship.
- Notices. We'll send notices to the email address of your workspace owner or account. Send notices to us at legal@guidelytech.com.
- Export and sanctions. You will comply with applicable export control and sanctions laws and won't use the Service from, or make it available to anyone in, a sanctioned country or on a sanctions list.
